1. ACCEPTANCE OF TERMS

By purchasing, downloading, installing, or using any software, website, or service provided by Byte Banyan (collectively, the “Service”), you agree to be bound by these Universal Terms of Service (“Terms”). If you do not agree, do not use the Service.

These Terms apply to all current and future products released by Byte Banyan, including but not limited to Apprendre. If a specific product has a separate written agreement or addendum, that specific agreement controls in the event of a conflict.

2. LICENSE GRANT

Subject to your compliance with these Terms, Byte Banyan grants you a limited, non-exclusive, non-transferable, and revocable license to use the specific software product you purchased or downloaded.

For One-Time Purchase Software (e.g., Apprendre): This license is a single-user license. You may install and use the software on multiple devices (e.g., a desktop and a laptop) owned and used primarily by you. You may not share your license key or install the software on devices used by other people.

For Free/Trial Versions: You may use the software for evaluation purposes only. We reserve the right to limit features or usage time.

3. RESTRICTIONS

You agree not to, and will not permit others to:

Decompile, reverse engineer, disassemble, or attempt to derive the source code of the Service.

Sell, rent, lease, sublicense, or redistribute the Service or your license key to any third party.

Circumvent or modify any security mechanism, license verification, or copy protection features.

Use the Service for any illegal purpose or in violation of any applicable laws.

4. PAYMENTS, TAXES, AND DELIVERY

Payment Processing: Our products are sold via Payhip. You authorize Payhip and its payment processors (e.g., Stripe, PayPal) to charge your payment method for the total amount of your purchase.

Taxes (VAT/GST/Sales Tax):

EU & UK Customers: Payhip acts as the reseller for VAT purposes and is responsible for collecting and remitting VAT for sales to customers in the EU and UK.

Rest of World: For customers outside the EU/UK (e.g., USA, Canada, Australia), Byte Banyan is the seller of record. Any applicable sales taxes or GST will be calculated at checkout based on your location. You are responsible for paying these taxes.

Refunds: All sales are final unless otherwise stated on the product page or required by local consumer law. If a refund is granted (e.g., for unresolved technical issues), your license to use the software is immediately revoked.

5. PRIVACY AND DATA

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your data. By using the Service, you consent to the data practices described therein.

6. INTELLECTUAL PROPERTY

The Service, including all code, graphics, text, and proprietary technology, is owned by Byte Banyan and is protected by copyright, trademark, and other intellectual property laws. You purchase a license to use the software, not ownership of the software itself.

7. DISCLAIMER OF WARRANTIES

THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, BYTE BANYAN DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED.

8. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL BYTE BANYAN BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF DATA, REVENUE, OR PROFIT) ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE.

9. TERMINATION

This license is effective until terminated. Your rights under this license will terminate automatically without notice if you fail to comply with any of its terms. Upon termination, you must cease all use of the Service and destroy all copies of the software.

10. GOVERNING LAW

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising under these Terms shall be resolved in the courts located in Ontario, Canada.

11. CHANGES TO TERMS

We reserve the right to modify these Terms at any time. We will update the “Last Updated” date above. Continued use of the Service after changes constitutes your acceptance of the new Terms.

12. ADDITIONAL TERMS

By using any Byte Banyan product or service, you also agree to the additional notices, licenses, and disclaimers published on our Legal Information page .

Those notices include, but are not limited to:

• Open‑source and AI model license requirements.
• Product‑specific acceptable use rules and disclaimers.
• Any additional terms that apply to a particular app or service.

The Legal Information page is incorporated by reference into these Terms of Use. We may update that page from time to time; continued use of our products constitutes acceptance of any changes.
